Nobody buys an Amazon business on a whim. By the time an offer lands, the buyer has graded your trailing twelve months against a checklist, and most of what they grade was decided a year or more earlier. If you want the top of the multiple range instead of the bottom, the work starts about eighteen months before you ever talk to a broker.
This is the preparation piece of our full guide to selling your Amazon business. If you have not run your own numbers yet, start with what your Amazon business is worth, then come back here. Everything below exists to defend and grow that number.
Eighteen to twelve months out: make the books boring
Clean books are the highest-paying project on this list. A buyer's first due diligence request is a monthly profit and loss that ties to your Amazon settlement reports and your bank statements. If those three sources disagree, every later conversation gets harder and the price drifts down.
Switch to accrual accounting if you are still on cash. Get personal spending out of the business entirely, because every add-back you have to explain is a small withdrawal from the buyer's trust. Close the books monthly, and keep a running note on anything unusual, like a one-time product mold or a legal bill. Eighteen months of clean monthly statements is also exactly what a lender wants, and many of your buyers will be borrowing to pay you.
Twelve to six months out: fire yourself
Buyers pay a premium for a business that runs without its owner and discount one that cannot. Track your real owner hours for two weeks, then start handing things off. Document every recurring task the way we laid out in our SOP system, and get a VA running the routine work while you still have months to fix the hiccups. The target is a business running on under five owner hours a week by listing day, with SOPs as proof, because vague claims about passivity get tested hard during the transition period every buyer writes into the deal.
Six months out: tighten the operational file
This is the stretch where you close the small gaps that show up on every due diligence checklist:
- Supplier terms in writing, plus a second supplier qualified for your best sellers
- Trademark registered and Brand Registry active
- Account health clean, with no unresolved IP complaints or policy warnings sitting in the queue
- Inventory under control: hero ASINs in stock, aged inventory cleared, and a clean ending inventory number every month, since inventory usually gets bought on top of the multiple at cost
None of it is glamorous, and all of it is gradeable. A file with no surprises closes faster and re-trades less.
The transfer question everyone asks too late
Yes, an Amazon seller account transfers with the business. Amazon has allowed it in acquisitions for years. In practice the buyer takes over the existing account, then updates the login email, two-step verification, deposit details, and tax information in a planned sequence over a week or two. What trips sellers up is the prep: the account should already sit in your business entity's name rather than your personal name, and the email on it should be a business address you can hand over. Sort that out months ahead, not during closing week.
The extra item for Canadian sellers
Most buyers of Canadian-owned Amazon businesses are American and offers arrive in US dollars, so everything above applies equally. The one extra decision is whether you will sell the assets or the shares of your corporation, because it changes what clean books need to look like and it can swing your after-tax result more than the negotiation does. That is tax planning rather than sale prep, so we will leave it with the pros: our accounting firm, Jones & Cosman, covers the whole decision in their exit planning guide for Canadian online sellers. Read it at month eighteen, not during the sale.
Frequently asked questions
How long does it take to prepare an Amazon business for sale?
Twelve to eighteen months to do it properly. Buyers price the trailing twelve months, so improvements need a full year on the books to show up in your multiple. A rushed ninety-day cleanup helps a little, but the trend lines are already set by then.
What do buyers check first in due diligence?
The money trail. They reconcile your profit and loss against Amazon settlement reports and bank deposits, then test your add-backs one by one. After that comes concentration risk: how much profit depends on one ASIN, one supplier, and on you personally.
Can you transfer an Amazon seller account to a buyer?
Yes. In an acquisition the buyer takes over the account itself, keeping its reviews and sales history, and updates the credentials, banking, and tax details step by step. Amazon expects the account to change hands with the business, but the handover goes far smoother when the account is held by the business entity rather than by you personally.
